MV Agusta announces financial deal to pave way forward

After months of speculation and rumours, MV Agusta has announced a new financial deal that should move the company into the future.

Following several years of dynamic growth, at least as far as its product line was concerned, MV Agusta fell afoul of economic realities last year. Production was scaled back, R&D went on the backburner, and there were whispers of a vastly changed future for the company. Behind it all, the Russian investors of the Black Ocean Group seemed to be involved heavily, buying their way into the company as Giovanni Castiglio and his family seemed to be losing ground.

Now, there’s another major change happening. According to a press release yesterday, the MV Agusta shares previously owned by Mercedes AMG have been purchased by a holding company, which is in turn partly owned by ComSar Invest. ComSar Invest is owned by the Black Ocean Group (surprise, surprise).

It seems as if the Castiglioni family does retain some measure of ownership, despite the Black Ocean Group worming its way further into the company. In the press release below, Giovanni Castiglioni was full of positive comments for the deal, saying it was the answer for the company’s future plans.

No numbers for the deal were announced; Mercedes AMG owned 25 per cent of the company, but we don’t know what the holding company paid for those shares.

The further investment of Russian money into the company is interesting, as China and India have been the major players in acquisition deals in recent years. Maybe Russian money will be turning to motorcycles next?

Varese, July 24th 2017 – MV Agusta Holding consolidates its equity investment through ComSar Invest; an investment fund part of Black Ocean Group, owned by Timur Sardarov, a Russian dynasty key player in the production of oil and gas in East Europe.

Along with the transaction, MV Agusta Holding announces the purchase of the 25% shares held by Mercedes AMG in the historic Italian motorcycle manufacturer MV Agusta Motor S.p.A.. The closing of the deal, whose financial terms are not disclosed, is set simultaneously to the capital increase of MV Agusta Holding in MV Agusta Motor S.p.A. expected at homologation of the company restructuring plan, which has been approved by the quorum of the creditors.

The new shareholding structure of MV Agusta Holding, which will control 100% of MV Agusta Motor S.p.A., will see ComSar Invest as a strong minority shareholder and GC Holding, the investment company of Giovanni Castiglioni, owning the controlling stake.

The finalization of the transaction adds another important element to MV Agusta deep turnaround plan started in 2016, based on the repositioning of the MV Agusta as a prime producer of super premium motorcycles, that brought the company back to positive Ebitda.
